Abstract

This article examines the global dimensions of corporate governance through a comparative and institutional lens. Its purpose is to explain how major governance models have evolved under the influence of cross-border capital flows,
international standards, investor expectations, ESG integration, and digital
transformation. The study focuses on the  protection of shareholder rights, board independence, disclosure quality, risk oversight, stakeholder relations, and
compliance mechanisms as the main components of contemporary governance architecture. It compares the Anglo-American,
Continental European, and Asian approaches, while also discussing governance in state-owned enterprises and emerging markets.
